Speculation around a potential Tesla (NASDAQ:TSLA) and SpaceX (NASDAQ:SPCX) merger is gaining traction, with Barclays analyst Dan Levy arguing that an announcement could come before Tesla's Dec. 6 annual general meeting.

Levy's case rests less on traditional financial synergies and more on the increasing operational overlap between Elon Musk's companies.

While the industrial logic of a combination had been in question, we believe recent management comments indicate they see key benefits of a combination, Levy wrote. The true value would be in vertical integration.

The biggest driver, in Barclays' view, is Terafab.

The planned semiconductor manufacturing facility is expected to support the enormous compute needs of Tesla, SpaceX and xAI. But because the project involves multiple Musk-controlled companies, Levy argues that the current structure creates governance and approval complexity.

Tesla robotaxis could use xAI fleet-management software. Tesla vehicles could use Starlink connectivity. SpaceX data centers could rely on Tesla energy products. And Tesla's Optimus humanoid robots could use Grok for natural-language interaction.

If SpaceX acquired Tesla, using market values of roughly $2.1 trillion for SpaceX and $1.5 trillion for Tesla, Barclays estimates Musk could end up owning about 37% of the combined company with roughly 56% of the voting power.

Levy estimates Tesla shareholders could receive around 0.7 SpaceX share for each Tesla share, although the final exchange ratio would depend on any acquisition premium.

I think the most important point is that Barclays is not saying a merger is certain.

It is arguing that the strategic logic has become more credible.

Musk himself has increasingly highlighted the overlap. On Tesla's Q2 earnings call, he said, There's more and more overlap, especially with Terafab, and later pointed to the growing collaboration between his companies.

For investors, the key things to watch are Tesla's Dec. 6 AGM, any formal board discussions, Terafab ownership structure, and whether Musk provides clearer comments on consolidation.

A merger would create one of the most unusual corporate combinations ever attempted, bringing EVs, rockets, satellites, AI, robotics, energy and semiconductor manufacturing under one umbrella.

That upside comes with equally large questions around governance, valuation and execution.
