SSR Mining (NASDAQ:SSRM), the third-largest gold producer in the U.S., agreed to buy Roxmore Resources (RM), a Canadian junior miner, in an all-cash deal valuing Roxmore's equity at about $464 million. Roxmore shareholders will receive C$6.75 a share, a 27% premium to Friday's close, plus stock in a new exploration spinoff. SSR Mining shares fell 2.96% in premarket.

Roxmore's main asset is Converse, a Nevada gold project six kilometers from SSR's Marigold mine, with 2.2 million ounces of indicated and 3 million ounces of inferred gold resources. SSR expects it to add 150,000 to 170,000 ounces of gold a year for more than a decade, and sees at least $200 million in life-of-mine synergies from running it alongside Marigold. SSR Mining is the natural acquiror of this exciting deposit, Executive Chairman Rod Antal said.

First production is targeted for 2033, and initial construction is estimated to cost $800 million to $900 million, though SSR expects no material spending until the early 2030s. SSR also valued Converse using lower gold price assumptions than Roxmore's own study. The deal, funded from cash, is expected to close in the fourth quarter.
